General Terms and Conditions of Sale (TCS) <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Article 1 - Purpose <\/strong><\/h3>

These Terms and Conditions of Sale (hereinafter referred to as \u2018TCS\u2019) define the conditions under which the company ALTO (hereinafter referred to as \u2018ALTO\u2019) sells its products and services (\u2018Products\u2019) remotely to customers via its website (www.altowatches.com), its social networks (Instagram<\/a> or Linkedin<\/a>), email (contact@altowatches.fr<\/a>), WhatsApp and any other means of communication available to the customer (together, the \u2018Platforms\u2019).<\/p>

The TCS apply exclusively to all legal operations relating to the products marketed to its customers by ALTO within the Platforms, notwithstanding any provisions to the contrary contained in any document issued by the customer, unless exceptions have been agreed in writing between ALTO and the customer. The customer acknowledges having read these terms and conditions before placing an order. By choosing to purchase Products via the Platforms, the customer accepts these TCS.<\/p>

ALTO reserves the right to change its TCS at any time. The customer will be informed of these changes. The conditions applicable to the sale will be those in force on the date of the order.<\/p>

The customer declares that he\/she is of legal age and has the capacity to contract. The customer acknowledges that he\/she is a customer and end user making a purchase for his\/her own use or the personal use of a third party, that he\/she is not purchasing the Products for commercial purposes and that he\/she will not deliver or distribute the Products.<\/p>

Article 2 - Product features <\/strong><\/h3>

The essential features of the Products are described on the technical data sheet for each Product (\u2018Technical Data Sheet\u2019). The descriptions of the Products on the Platforms have no contractual value, except for those relating to Products sold on the Website.<\/p>

ALTO makes every effort to ensure that the information, including Product descriptions, dimensions, colours and other features, provided by the Platforms or any other communication medium or communicated by ALTO is accurate and comprehensive.<\/p>

The features of the Products will be communicated via the Product\u2019s Technical Data Sheet following a request for information on a Product, via the Platforms.<\/p>

Article 3 - Orders <\/strong><\/h3>

The Products offered on the Platforms are not necessarily available and must always be the subject of a request for information followed by an order or may be ordered directly through the website (the \u201cWebsite\u201d).<\/p>

Products available on the Website:<\/p>

The ordering process on the Platforms involves adding items to a shopping cart, with availability not being guaranteed until the order is confirmed, proceeding to checkout as a guest or registered user, reviewing and confirming the details of the order, including delivery, personal data and payment information, and finally placing the order. For orders placed as a guest, ALTO may create an account in its internal systems in order to record the customer\u2019s purchase(s).<\/p>

Before finally submitting the order and confirming its acceptance, the customer may review the details of the order and its total amount and may freely amend it, in particular by removing one or more of the items initially selected, adding one or more items, or changing the quantities ordered and placed in the \u201cShopping Cart\u201d. The price of the items, as defined in Article 6 below, is automatically displayed in the \u201cShopping Cart\u201d.<\/p>

ALTO may refuse, cancel or terminate orders at any time where it has reasonable grounds to do so. For example, this may apply where there is an ongoing dispute concerning payment for a previous order or where ALTO suspects, at its sole discretion, that the customer (i) is engaged in fraudulent activities; or (ii) has otherwise breached these TCS.\u00a0<\/p>

For purchases delivered to addresses in France: In accordance with Article L. 223-2 of the French Consumer Code, the customer may register free of charge on the \u201cBloctel\u201d opt-out list in order to object to telephone marketing, a practice in which ALTO does not engage.<\/p>

Products not available on the Website:<\/p>

The customer sends a request for information via the Platforms about the desired Product. ALTO will provide the client with the Product\u2019s Technical Data Sheet and an order form.<\/p>

Once the order form has been signed, ALTO will send an order confirmation to the customer via the Platforms or the email address provided by the customer. The sale is deemed final when the order confirmation is sent.<\/p>

ALTO reserves the right to refuse or cancel any order from a customer, particularly in the event of the said customer's insolvency, non-payment of the order in question or a dispute relating to the payment of a previous order.<\/p>

The details given by the customer when providing information for his\/her order are binding. ALTO shall not be held liable for any errors made by the customer in providing contact details, which may result in late delivery or the inability to deliver the Products ordered.<\/p>

Subject to the provisions of Article 5, \u2018Withdrawal Right\u2019, orders that have been confirmed by the customer cannot be cancelled and the provisions of Article 7, \u2018Payment\u2019, will apply.<\/p>

Article 4 - Custom Products <\/strong><\/h3>

In certain cases, ALTO offers a customisation service for Products, such as engraving, size or type of strap, colour, finish, etc. Customisation of Products refers to any changes to the Product compared to its Technical Data Sheet. \nThe customer must supply the required information before signing the order form and is solely responsible for the information supplied. In any event, ALTO reserves the right to withhold or refuse acceptance of any custom Products order containing remarks that are unacceptable, illegal or contrary to ALTO's policies.<\/p>

Article 5 - Withdrawal right<\/strong><\/h3>

The customer may access the withdrawal form attached to these TCS. For purchases of Products made directly through the Website, the customer may also exercise the right of withdrawal by using the dedicated button. If the customer exercises this right, the customer must return the Product intact, placing the Product, its box and its case in the original packaging, as well as the invoice and warranty card, and follow ALTO's shipping instructions.<\/p>

The customer has a period of 14 days from receipt of the Product to return it to ALTO for an exchange or refund.<\/p>

The customer must contact ALTO prior to any shipment in order to organise the Product return process.<\/p>

In the event of exercising the right of cancellation and after checks by the expert, ALTO undertakes to refund the amounts paid by the customer, with the exception of return costs. Refunds are due within a maximum of 30 working days.<\/p>

However, the right of cancellation does not apply to any custom Products, as defined in Article 4, \u2018Custom Products\u2019, which cannot therefore be exchanged or refunded.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

Article 6 - Prices <\/strong><\/h3>

The prices of the Products will be available on request from ALTO and will appear on the order forms or will be displayed on the Website for Products available for sale on the Website\n. Prices include sales taxes applicable in France as well as delivery costs, but exclude all other taxes, including those potentially applicable in the country of delivery of the Product ordered. In the case of an order to another country, the customer is the importer of the Product(s) concerned. For all products shipped outside the European Union, customs duties or other local taxes, import duties or state taxes may be payable. These duties and amounts are not ALTO\u2019s responsibility. They are the customer\u2019s responsibility, in terms of both declarations and payments to the competent authorities and bodies in the country concerned.<\/p>

All Product orders, regardless of their country of origin, are payable in euros or US dollars.<\/p>

\u00a0<\/p>

Article 7 - Payment <\/strong><\/h3>

Unless another payment method is agreed between the parties, orders must be paid in full by bank transfer.<\/p>

For orders placed through the Website, payment shall be made by bank card (Visa, Mastercard, Apple Pay or American Express).<\/p>

Despite receipt of an acknowledgement of receipt by the customer, the order will not be processed by ALTO until full payment for the Product has been received. In the event that the bank transfer is not received by ALTO within seven (7) days of the order confirmation date, ALTO reserves the right to cancel the order.<\/p>

In the event that a deposit is provided for, and in the event of cancellation of the order by the customer between confirmation of the order and dispatch of the Product, no refund of the deposit will be due to the customer, subject to the applicable legal provisions<\/p>

Invoices are sent to the customer by email when the Product is sent for delivery.<\/p>

\u00a0<\/p>

Article 8 - Delivery <\/strong><\/h3>

Product delivery times will be indicated in the order confirmations sent to the customer by ALTO, or on the Website for the relevant Products. If necessary, the customer and ALTO may agree together on a delivery date other than that initially planned.<\/p>

ALTO makes reasonable efforts to ensure that delivery is made by the carrier within the estimated delivery time from the date of the order confirmation. In the event of a delay due to an event beyond ALTO's control, the customer will be informed as soon as possible.<\/p>

Any delays in delivery attributable to the carrier do not entitle the customer to claim damages from ALTO. In the event that one or more of the Products ordered are missing or damaged on delivery, the customer must expressly make a reservation to the carrier at the time of delivery. ALTO may not be held responsible for non-performance of the contract entered into in the event of force majeure, disruption or total or partial strike, particularly of postal services and means of transport and\/or communications.<\/p>

Article 9 - Warranty <\/strong><\/h3>

ALTO offers the customer the applicable legal guarantees as specified in the box below. ALTO disclaims and excludes all other conditions and warranties relating to the Products, whether explicit or implicit, or arising from any previous use, operation or commercial practice.<\/p>

\u00a0<\/p>

Legal provisions concerning the warranty:<\/strong><\/h4>

Consumers have a period of two years from the date of delivery of the goods in which to invoke the legal guarantee of conformity in the event of a non-conformity. During this period, the consumer is only required to establish the existence of the non- conformity and not the date of its appearance.<\/p>

The legal guarantee of conformity implies an obligation on the part of the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.<\/p>

The legal guarantee of conformity gives the consumer the right to have the goods repaired or replaced within thirty days of his\/her request, free of charge and without any major inconvenience to him\/her.<\/p>

If the goods are repaired under the legal conformity guarantee, the consumer benefits from a six-month extension to the initial warranty.<\/p>

If the consumer asks for the goods to be repaired, but the seller requires them to be replaced, the legal guarantee of conformity is renewed for a period of two years from the date on which the goods are replaced.<\/p>

The consumer may obtain a reduction in the purchase price by keeping the goods or terminate the contract by obtaining a full refund in exchange for the return of the goods, if:<\/p>

1) The seller refuses to repair or replace the goods;<\/p>

2) The goods are repaired or replaced after a period of thirty days;<\/p>

3) The repair or replacement of the goods causes major inconvenience to the consumer, in particular where the consumer definitively bears the cost of taking back or removing the non-conforming goods, or if he\/she bears the cost of installing the repaired or replacement goods;<\/p>

4) The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity.<\/p>

The consumer is also entitled to a reduction in the price of the goods or to termination of the contract where the non- conformity is so serious as to justify immediate reduction in the price or termination of the contract. In this case, the consumer is not obliged to ask for the goods to be repaired or replaced beforehand.<\/p>

Consumers do not have the right to cancel the sale if the non-conformity is minor.<\/p>

Any period during which the goods are immobilised with a view to their repair or replacement suspends the warranty that was in force until the delivery of the repaired goods.<\/p>

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.<\/p>

A seller who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to \u20ac300,000, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).<\/p>

The consumer also benefits from the legal guarantee against hidden defects pursuant to Articles 1641 to 1649 of the French Civil Code for a period of two years from the discovery of the defect. This guarantee entitles you to a price reduction if the goods are kept or a full refund against return of the goods.<\/p>

Where applicable, the existence and conditions of the warranty are specified to the customer when each Product is purchased.<\/p><\/td><\/tr><\/tbody><\/table>

\u00a0<\/p>

Excluded from this warranty are defects resulting from accidents, mishandling, improper use or misuse (such as impact, marks from knocks, crushing, excessive temperatures, strong magnetic fields, etc.), use that does not comply with the instructions in the user manual, unauthorised modification or repair, as well as the consequences of normal wear and tear and ageing of the watch, strap and glass, and loss of water resistance beyond two years after the date of purchase if the Product is water resistant as indicated in the user manual. Any work carried out on the watch other than by ALTO will invalidate the warranty.<\/p>

\u00a0<\/p>

Article 10 - Liability <\/strong><\/h3>

Subject to the applicable legal provisions, ALTO's total liability for any damage linked directly or indirectly to the Products is limited to the time the Product was ordered.<\/p>

The photos on the Platforms are provided for illustrative purposes only. The customer must refer to the technical description and user manual supplied by ALTO for the exact features and, if in doubt, contact ALTO.<\/p>

ALTO is only responsible for the content published on the Platforms and is only bound by an obligation of means for all stages of access to the Platforms. Consequently, ALTO cannot be held liable for any inconvenience or damage resulting from the use of the Platforms.<\/p>

The Platforms are accessible 24\/7; however, ALTO cannot be held liable if the Platforms are inaccessible. ALTO has the right, at its sole discretion, to suspend, interrupt or cancel access to the Platforms.<\/p>

\u00a0<\/p>

Article 11 - Unforeseeability <\/strong><\/h3>

If a change in circumstances unforeseeable at the time the contract was entered into makes performance excessively complicated for a party that had not agreed to assume the risk, that party may ask its co-contractor to renegotiate the contract.<\/p>

\u00a0<\/p>

Article 12 - Force majeure <\/strong><\/h3>

Performance of ALTO's obligations is suspended in the event of a fortuitous event or force majeure which prevents performance. Force majeure shall mean any event that ALTO could not reasonably have foreseen or controlled on the date of the order in view of the unforeseeable and uncontrollable nature of the event in question, and in particular in the event of government action, war, terrorism, shortage of raw materials, failure of suppliers or subcontractors, transport interruptions, shortage or industrial action, viral contamination, epidemic, earthquake, fire, explosion, flood, strike, lockout, embargo, fortuitous event or any other cause beyond ALTO's reasonable control.<\/p>

In such a case, ALTO will notify the customer of the occurrence of such an event as soon as possible.<\/p>

Should the event last more than twelve (12) months from its occurrence, the customer may request cancellation of the order by giving ALTO two (2) months' notice by registered letter with acknowledgement of receipt.<\/p>

\u00a0<\/p>

Article 13 - Personal data <\/strong><\/h3>

In the context of the relationship governed by these TCS, ALTO may access and use the personal data of customers (the \u2018Data Subjects\u2019) and in particular the surname, first name, email address, telephone number, postal address and any other information provided by the customer (hereinafter , the \u2018Personal Data\u2019). Personal Data is used to enable the effective functioning of the contractual relationship, the implementation of contractual or pre-contractual measures and ALTO's compliance with its legal obligations. It may be passed on to companies that contribute to this relationship, such as those responsible for carrying out services and orders for their management, fulfilment, processing and payment. The Personal Data retention period strictly adheres to the time period needed to achieve the above-mentioned purpose(s). Where Personal Data is processed on the basis of the Data Subject's consent, it is processed until the Data Subject withdraws his\/her consent or until two years after the last contact. Said Personal Data, whether provided or collected by ALTO, is used in accordance with the provisions of the General Data Protection Regulation (\u2018GDPR\u2019). In accordance with the GDPR, Data Subjects have the following rights: access, rectification, erasure, objection and updating. Under certain conditions, Data Subjects also have the right to portability and restriction of processing. In order to exercise these rights, the Supplier may write to ALTO at the following address: contact@altowatches.fr<\/a>. For further information, the customer may consult ALTO\u2019s Privacy Policy available on the Website. With regard to Personal Data processed in connection with the purchase of Products available on the Website, the customer may consult the online shop\u2019s privacy policy before creating an account, placing an order or using the e-commerce services. It is available at the following address: Privacy Policy<\/a>.<\/p>

If the customer believes that his\/her data protection rights have not been respected after contacting ALTO, the customer may submit a complaint to the relevant supervisory authority.<\/p>

\u00a0<\/p>

Article 14 - Intellectual and industrial property <\/strong><\/h3>

All texts, comments, works, illustrations and images reproduced or represented on the Platforms are strictly reserved under copyright and intellectual property law worldwide. As such, only use for private purposes is authorised, subject to different or even more restrictive provisions of the French Intellectual Property Code. Any total or partial reproduction or representation of the Platforms or of all or part of the elements found on the ALTO site is strictly forbidden.<\/p>

Notwithstanding any provision to the contrary, all processes and techniques, as well as all knowledge and intellectual property rights implemented, developed or improved by ALTO in the context of Product distribution and manufacture, remain its property or that of its suppliers.<\/p>

\u00a0<\/p>

Article 15 - General provisions<\/strong><\/h3>

Failure on the part of ALTO to exercise a right, on any occasion, does not imply a waiver of the exercise of that right on another occasion.<\/p>

To the extent possible, these TCS will be interpreted in accordance with the law. If any of the clauses of these TCS are declared null and void by a final court decision, the nullity of this clause will not result in the nullity of these TCS. All other provisions will thus remain in force and the nullified clause will be replaced by another clause, resulting in the same legal and economic consequences, by mutual agreement.<\/p>

The Platforms and these TCS are written in French. Translations into foreign languages of all or part of the sections appearing on the Platforms may, however, be available. The parties agree that the French language version takes precedence over all translations into any other language.<\/p>

Article 16 - Applicable law and jurisdiction<\/strong><\/h3>

The special terms and conditions and the general terms and conditions of the order shall be interpreted in accordance with French law.<\/p>

In accordance with Articles L. 612-1 et seq. of the French Consumer Code, French customers may have recourse, free of charge, to a consumer mediator with a view to reaching an amicable settlement of a dispute with ALTO. If a prior written complaint submitted by the customer to ALTO has been unsuccessful, the customer may refer the matter to the following consumer mediator:<\/p>
